Lost Securities Indemnities
Norwich Union will undertake to act as Surety/Guarantor in respect of missing stocks or shares certificates when the registered owner or their Legal representative is required to give an undertaking to the issuing company that the certificate has been lost and not charged or assigned before the Company Registrar will issue a duplicate.
The undertaking also requires the owner to indemnify the Registrar against any loss arising out of the issue of a duplicate certificate. To minimize the risk to the Registrar, a bank or insurance company is required to join in the undertaking as Guarantor.
PLEASE NOTE: Lost Securities Indemnities DO NOT relieve the owner from liability under the undertaking. They are for the protection of the Registrar and are designed to facilitate the Proposer only. In some cases where it can be proven that the Proposer has no beneficial interest in the assets Norwich Union will consider entering in to a counter-indemnity whereby Norwich Union releases rights to seek recompense in the event of claim.
** Cover is not offered in respect of missing Banker's Drafts or missing Management Property share certificates **
Banker's Drafts are negotiable despite the fact they are issued to a named party. There is no independent Registrar involved and once these instruments have been issued they cannot be cancelled.
Information required to quote:
- Name & address, (including country of residence), of Proposer and their relationship to the shares, (Owner, Executor of Owner, Representative of Owner)
- The current value of the shares/assets in Sterling
- confirmation that the shares are in a UK registered company quoted on the London Exchanges, (Norwich Union do not offer cover in respect of Private companies)
A security will be signed following:
- submission of a satisfactory proposal
- a letter from the Solicitors acting giving a general outline of the current situation, (circumstances of loss, attempts at recovery, confirmation that all debts/liabilities have been established and settled, confirmation that the shares have not been assigned or lodged against any form of loan or debt)
- the original letter of indemnity issued by the Registrar
- a cheque, (made payable to Norwich Union Insurance), for the premium
- documentary evidence of the Proposer's identity (e.g. copy of photograph page of passport/picture driving licence)
- documentary evidence lived at current address for more than 12 months (utility bill)
